What is a “Strategic Valuation?”
It starts with the idea that business valuation is part of an ongoing process; it’s not an event. In this way, we are not a typical valuation firm.
Every business decision should be geared toward increasing corporate value. Knowing the value of a business enterprise is just the start – it tells you where things are at a single moment in time, like a snapshot.
Businesses aren’t snapshots.
Businesses evolve constantly and so does corporate value. We ask questions and LISTEN to the answers in order to identify the value drivers. We take a forward-looking view of value and integrate a valuation enhancement process into your business and provide you clarity for decision-making.
What is “value” and how do you measure it? Is it rearranging numbers on a balance sheet or is it something that requires an understanding of YOUR business, the environment in which it operates, its functions, its risks, its opportunities, and its prospects for the future? Is value a “theoretical” number or is it the result of a buyer’s-eye analysis that reflects what a potential buyer would pay?

How does Meliora Advisors add value?
1. Strategic Valuations: We believe that every action or decision a business owner or management team takes should be geared toward increasing corporate value.
Strategic valuation analysis provides business owners with a “buyer’s-eye view” of the current value of a business. That starting point can be compared to a “what if” value under different scenarios.
In that way, we can help answer the question “How will this action/decision/change/event affect the value of MY business?”
2. Transaction Advisory: We provide transaction advisory services to companies and stakeholders (shareholders, boards of directors, etc.).
These are situations where there is a identified deal (buy/sell/other) and our client needs to know if the pricing and structure of the deal meets their needs and expectations.
Business owners sometimes do not have the time or experience to analyze buy or sell transactions. Sometimes they are just focused on running their business or just want a “fresh set of eyes.”
We have experience in a broad set of industries, across many geographies, and with myriad structures to help.
3. Business Divorce: A “business divorce” is when two or more business partners sever their relationship. Most of the time, these are not adversarial situations but sometimes they are.
Business divorces are not “just business”, there are typically emotional issues, even “drama” involved.
We work with legal counsel to arrive at an equitable solution based on the facts and circumstances of each situation. Often, costly litigation can be avoided but in cases that do go to litigation, we can provide analysis and/or expert witness testimony.
4. Traditional Business Valuations: The vast majority of valuation firms provide “traditional” business valuations which are generally a snapshot of value at a moment in time.
These valuations are typically performed for tax or financial reporting purposes and we certainly provide those.
The standard of value in these projects is often “Fair Market Value” which is very different from from Investment Value or Strategic Value. We understand these differences and can give you the right kind of analysis for your situation.

Most of our projects have very quick turnarounds and we work very hard to meet our clients’ timing. The time and effort that we devote to each project is usually invisible to our clients – we deliver results.
For that reason, we typically quote our fees upfront and provide a fee range. Our clients appreciate this transparency and that it takes away the concern that the “meter is always running” every time we talk or if there are changes to the situation or updates to the data.
